Terms & Conditions

Agreement to these terms

These terms govern your use of devolution.llc (the "website") and, together with any signed proposal, statement of work, or quote, the consulting services Devolution LLC ("Devolution", "we", "us") provides. By using the website or engaging us, you agree to these terms.

Our services

Devolution provides automation, integrations, and cloud support work: reducing manual processes, connecting business tools, and cleaning up the systems behind day-to-day operations. Specific scope, deliverables, timelines, and fees are defined in the applicable statement of work (SOW), not in these general terms.

Engagements

Work begins once a proposal or SOW is accepted and, where stated, an initial payment is received. Either party may request changes in writing; changes to scope or timeline are handled through a revised SOW or written agreement before the work continues.

Client responsibilities

To keep engagements on track, you agree to:

  • Provide accurate information about the systems involved.
  • Grant the access and permissions needed to perform the work.
  • Review deliverables and give feedback within agreed timeframes.
  • Appoint someone to make decisions and approve work.

Delays in these responsibilities may move timelines, and related impact will be discussed before deadlines change.

Fees and payment

Fees, milestones, and payment schedule are set out in the SOW. Unless the SOW says otherwise, invoices are payable within 14 days of issue. Payments may be made by bank transfer or through Paysera where offered; processing is subject to the payment provider's own terms.

Late payments may pause work. We remain the owner of all deliverables until payment is received in full.

Intellectual property

On full payment, you receive ownership of the specific deliverables produced for your engagement — the configurations, automations, and documentation built for you. Our pre-existing tools, frameworks, and know-how remain ours, and we keep a right to use general techniques and experience gained during the work.

Third-party components and services (cloud providers, SaaS tools, open-source libraries) remain subject to their own licenses and terms.

Confidentiality

Both parties agree to keep the other's non-public information confidential and to use it only for the engagement. This does not cover information that is already public, independently developed, or required to be disclosed by law.

Third-party services

Engagements often involve third-party platforms (cloud providers, SaaS applications, payment processors). We configure and integrate these for you, but their availability, pricing, and terms are controlled by their providers, and we are not responsible for changes they make.

Website use

The website and its content are provided for general information and may change without notice. You may not scrape, disrupt, or misuse the site, or use it to transmit unlawful material.

Disclaimer of warranties

Services are provided as described in the applicable SOW. The website is provided "as is" without warranties of any kind. Nothing on the website is a commitment to specific outcomes or timelines.

Limitation of liability

To the maximum extent permitted by law, Devolution's total liability for an engagement is limited to the fees paid for that engagement in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages — including lost profits, lost data, or business interruption — arising from the website or our services.

Termination

Either party may terminate an engagement with written notice. On termination you pay for work completed up to that point, and we return or hand over materials as agreed in the SOW.

Governing law and disputes

These terms are governed by the laws of the state in which Devolution LLC is registered, without regard to conflict-of-law principles. The parties agree to first try to resolve any dispute in good faith before pursuing other remedies.

Changes to these terms

We may update these terms from time to time. The "Last updated" date at the top shows the most recent revision. Continued use of the website after changes means you accept them; signed SOWs are unaffected by later changes unless renegotiated.
